These are examples of recent matters handled by the Business Services Department:

 

Advised a highly successful restaurant business on a re-launch of their website to ensure compliance with the latest EU regulations.

Advised on restructuring two “not for profit” companies limited by guarantee one of whom was controlled by a large trade union. Advised on documentation necessary to perfect the change of ownership including amending the companies’ constitutional documents; a deed of settlement for liabilities of resigning member; and deeds of indemnity for departing directors.

Recently advised a large commercial property plc on amending and restructuring a multi-million facility arrangements with a recognised European bank.

Recently advised a start up business on their privacy policy, terms and conditions and user participation agreement for a successful web hosting site.

Recently advised on two separate rounds of "rights issues" for a private limited company seeking to generate further working capital while its management team sought to win contracts for its new logistics services business. Advised on the rights issue circular to shareholders and the corresponding resolutions that needed to be passed.  CBG also advised on the logistic services agreement that would form the basis of its business with future clients as well as all of the internal employment contracts required for new members of its management team.

Advised investors of a joint venture company who were setting up a new high-end Indian restaurant and take-away business in London. Advised on a new shareholders agreement including imminent and future funding arrangements (to be provided by way of loans and equity) and complex deadlock and termination provisions.

Advised a global management consultancy company on their data protection policy, particularly the transfer of data outside of personal data to a data controller outside of the EU.

Advised on a merger of multiple franchises of an established sandwich take-away group based in London into a "newco" to aid in reducing the overheads that each franchise was required to pay.
