Recent interesting transactions:

  • Sale of multi-million pound recruitment agency as a going concern. We needed to pay particular attention to the rights of those associated with the agency because of the range of employment contracts. Some people were, for example, employees, others were sub-contractors and there were also part-time workers, whose employment statuses needed to be clarified in order to confirm whose rights were transferred to the purchasing company.
  • Reconstruction of a growing restaurant and catering business to create three new independent companies. The business had out-grown itself and each of the companies' individual components had to be separated to allow for future prosperity and growth.
  • Acted on two separate rounds of “rights issues” for a private limited company seeking to generate further working capital while its management team sought to win contracts for its new logistics services business. Advised on the rights issue circular to shareholders and the corresponding resolutions that needed to be passed.
  • Acted on a change of membership for two struggling “not for profit” companies limited by guarantee. Advised on documentation necessary to perfect the change of ownership including; amending the companies’ constitutional documents; deed of settlement for liabilities of resigning member and deeds of indemnity for departing directors.
