Partner with a following – Company/Commercial Team (10 years pqe+)

CBG is seeking a Partner with a following to join their active and expanding company/commercial team. CBG advise clients on a broad range of company/commercial and banking matters acting for PLC companies, investors, developers and hospitality and leisure operators. The department:

Our company/commercial department advises a broad range of clients in relation to their commercial and legal requirements.

 

The role:

Working closely with the team and across departments on a range of matters, including:

  • Setting up and structuring companies
  • Joint venture and shareholder agreements
  • Mergers, Acquisitions & Disposals of companies and businesses
  • Directors’ duties and corporate governance
  • Drafting and amending articles to suit shareholder structures
  • Management Buy Outs/Ins
  • Corporate finance
  • Company reorganisations
  • Compliance and company secretarial agreements
  • Shareholder and investor arrangements
  • Loan Agreements (bilateral or syndicated) secured on property or other assets
  • Setting up a Partnership or LLP
  • Guidance on intellectual property
  • Supply & distribution agreements
  • Asset financing
  • Agreements for provision of services
  • Confidentiality agreements
  • General commercial contracts
  • Banking

 

Required experience, skills and attributes:

Ideally you will have:

  • At least 10 years’ relevant post qualification experience;
  • Excellent communication, and organisational skills, with the ability to work and prioritise systematically, attention to detail and methodically managing multiple matters to meet deadlines;
    – Ability to work independently as well as part of the wider team;
  • Enthusiastic and proactive attitude to work;
  • A history of meeting billing targets; and
  • An interest in marketing and business development.
